1. About WAAI

WAAI provides technology tools that enable businesses to manage WhatsApp-based customer communication, marketing, automation, customer support, and related business workflows.

Depending on your subscription or configuration, the Services may include:

• WhatsApp Business API integration
• WhatsApp Cloud API integration
• WhatsApp broadcasting
• Customer conversations
• Shared team inbox
• Chatbots
• Message automation
• WhatsApp templates
• Campaign management
• Contact management
• Analytics and reporting
• Webhooks
• APIs
• CRM integrations
• Other communication and automation features

Features may vary depending on the plan, subscription, third-party services, and availability.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use WAAI.

If you are using WAAI on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for ensuring that your use of WAAI complies with all applicable laws and regulations.

3. Account Registration

Certain features require you to create a WAAI account.

You agree to provide accurate, complete, and current information when registering and to keep your account information updated.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• Securing your account
• All activities performed through your account
• Not sharing your account credentials with unauthorized persons
• Immediately notifying us of unauthorized access or suspected security breaches

Sofitgrow is not responsible for losses resulting from your failure to protect your account credentials.

4. WhatsApp Business and Meta Services

WAAI may use WhatsApp Business Platform, WhatsApp Cloud API, Meta services, and other third-party services.

Your use of WhatsApp and Meta services is also subject to the applicable terms, policies, rules, and requirements of those providers.

You agree to comply with all applicable WhatsApp and Meta requirements.

Sofitgrow does not guarantee that WhatsApp or Meta will approve:

• Your WhatsApp Business Account
• Your phone number
• Your message templates
• Your campaigns
• Your business verification
• Your messaging limits
• Your account status

WhatsApp or Meta may suspend, restrict, disable, or terminate an account or service independently of WAAI.

Such third-party actions may affect your ability to use WAAI.

5. Customer and Contact Data

You may upload, import, store, or process customer and contact information through WAAI.

You represent and warrant that:

• You have the necessary rights and permissions to process such information.
• Your collection and use of customer data complies with applicable law.
• You have obtained required consent where applicable.
• Your communications comply with applicable marketing and messaging laws.
• You provide legally required privacy notices.
• You honor opt-out and unsubscribe requests.

You must not use WAAI to send unauthorized, unsolicited, fraudulent, deceptive, abusive, or illegal communications.

6. Acceptable Use

You agree to use WAAI only for lawful and legitimate business purposes.

You must not use WAAI to:

• Send spam or unauthorized bulk messages
• Send fraudulent or deceptive communications
• Harass or threaten individuals
• Promote illegal products or services
• Distribute malware or malicious code
• Violate privacy or data-protection laws
• Infringe intellectual property rights
• Impersonate another person or organization
• Conduct phishing or other fraudulent activities
• Circumvent WhatsApp or Meta restrictions
• Manipulate or abuse messaging systems
• Upload malicious files or software
• Attempt unauthorized access to WAAI
• Interfere with WAAI infrastructure
• Reverse engineer or copy the Platform
• Scrape or systematically collect Platform data without authorization
• Use WAAI to violate applicable laws or regulations

We may suspend or terminate accounts that violate these requirements.

7. WhatsApp Messaging Requirements

You are solely responsible for the messages and campaigns sent through your account.

You must ensure that:

• Recipients have appropriate permission to receive communications where required.
• Messages are relevant to the recipient.
• Marketing communications include appropriate opt-out mechanisms where required.
• You comply with WhatsApp Business messaging policies.
• You use approved message templates where required.
• You do not attempt to bypass WhatsApp's policies or restrictions.

Sofitgrow does not guarantee that any particular message will be delivered.

Message delivery may be affected by WhatsApp policies, recipient availability, account quality, templates, limits, network conditions, or other third-party factors.

8. User Content

You retain ownership of content you submit through WAAI, including:

• Messages
• Images
• Videos
• Documents
• Templates
• Customer information
• Campaign content
• Other materials

You grant Sofitgrow a limited right to process and transmit such content solely as necessary to provide, maintain, secure, and improve the Services and to comply with legal obligations.

You represent that you have all necessary rights to upload and use such content.

9. Intellectual Property

WAAI and its underlying technology, software, interface, design, trademarks, logos, documentation, and other materials are owned by or licensed to Sofitgrow.

Except as expressly permitted by these Terms, you may not:

• Copy WAAI
• Modify WAAI
• Reproduce WAAI
• Reverse engineer WAAI
• Create derivative works
• Resell or redistribute WAAI without authorization
• Copy WAAI's design or software
• Use Sofitgrow trademarks without permission

Your subscription gives you a limited, non-exclusive, non-transferable right to use the Services during your active subscription.

10. Third-Party Services

WAAI may integrate with third-party services, including WhatsApp, Meta, payment providers, cloud infrastructure providers, analytics providers, CRM platforms, and other APIs.

Third-party services may have their own terms and privacy policies.

Sofitgrow does not control third-party services and is not responsible for their availability, policies, actions, limitations, or changes.

If a third-party service becomes unavailable, WAAI functionality depending on that service may also become unavailable.

11. Fees and Payments

Certain WAAI features require a paid subscription or payment.

You agree to pay all applicable fees displayed at the time of purchase.

Prices may be displayed in INR or other supported currencies and may be subject to applicable taxes.

You authorize our payment provider to process charges associated with your purchase.

We reserve the right to change pricing, plans, features, or usage limits by providing appropriate notice where required.

12. Subscription and Automatic Renewal

Certain plans may automatically renew unless cancelled before the next billing period.

You are responsible for cancelling your subscription before the renewal date if you do not wish to continue.

Cancellation normally takes effect at the end of the current paid billing period.

Unless required by applicable law or expressly approved by Sofitgrow, cancelling a subscription does not entitle you to a refund for the unused portion of the current billing period.

13. Refund Policy

All WAAI purchases are generally non-refundable.

This includes:

• Subscription fees
• Message credits
• API credits
• Add-ons
• Campaign credits
• Setup charges
• Third-party service charges
• Partially used subscriptions
• Unused subscription periods
• Promotional purchases

Refunds may be considered only in circumstances expressly described in our Refund & Cancellation Policy or where required by applicable law.

Our Refund & Cancellation Policy forms part of these Terms.

14. Free Trial

If WAAI offers a free trial, the applicable trial period and features will be displayed during registration.

We may modify or discontinue free trials at any time.

Unless otherwise stated, a free trial does not create any entitlement to a refund for future paid services.

15. Service Availability

We aim to provide reliable and continuous access to WAAI, but we do not guarantee that the Services will always be:

• Available
• Uninterrupted
• Error-free
• Completely secure
• Free from delays
• Compatible with every device or third-party service

Services may temporarily become unavailable because of maintenance, upgrades, technical problems, network failures, security incidents, third-party services, WhatsApp/Meta outages, or circumstances beyond our reasonable control.

16. Account Suspension and Termination

We may suspend, restrict, or terminate your access if:

• You violate these Terms.
• You violate WhatsApp or Meta policies.
• You engage in spam or abusive messaging.
• Your account creates security risks.
• You engage in fraudulent activity.
• You fail to pay applicable fees.
• You use the Services for unlawful activities.
• We are required to do so by law.
• Your use creates a risk to WAAI, Sofitgrow, or other users.

Where appropriate, we may provide notice before suspension or termination, but we may act immediately where necessary to protect our systems, users, or comply with legal requirements.

17. Effect of Termination

After termination:

• Your right to use WAAI will cease.
• Access to certain account features may be disabled.
• Outstanding amounts may remain payable.
• Data may be retained or deleted according to our Privacy Policy and applicable law.
• Provisions that are intended to survive termination will remain effective.

Termination does not automatically create a right to a refund.

18. Data Protection and Privacy

Your use of WAAI is also governed by our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, process, and protect personal information.

19. Security

You agree not to:

• Attempt unauthorized access
• Test or bypass security mechanisms without authorization
• Introduce malware
• Perform denial-of-service attacks
• Attempt to access another user's account
• Interfere with WAAI infrastructure

We may investigate suspected security incidents and take appropriate action.

20. Disclaimers

To the maximum extent permitted by applicable law, WAAI is provided on an "as is" and "as available" basis.

We do not guarantee:

• Specific business results
• Specific sales or conversion rates
• Guaranteed message delivery
• Guaranteed WhatsApp account approval
• Guaranteed WhatsApp account safety
• Guaranteed template approval
• Guaranteed uninterrupted availability
• Guaranteed compatibility with all third-party services

Marketing performance depends on many factors outside our control.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Sofitgrow and its directors, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use WAAI.

This may include loss of:

• Profits
• Revenue
• Business opportunities
• Data
• Customers
• Goodwill
• Business reputation

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

22. Indemnification

You agree to indemnify and hold harmless Sofitgrow, its affiliates, directors, employees, contractors, and service providers from claims, losses, damages, liabilities, costs, and expenses arising from:

• Your use of WAAI
• Your violation of these Terms
• Your violation of WhatsApp or Meta policies
• Your customer communications
• Your violation of applicable law
• Your violation of another person's rights
• Content submitted through your account

23. Confidentiality

Each party may receive confidential information from the other party.

The receiving party agrees to use reasonable measures to protect confidential information and not disclose it except where required to provide the Services, comply with law, or as otherwise permitted.

24. Changes to the Services

We may modify, add, remove, suspend, or discontinue features of WAAI from time to time.

We may also introduce new plans, pricing, limits, or features.

Where legally required, we will provide notice of material changes.

Your continued use of WAAI after changes become effective constitutes acceptance of the updated Terms.

25. Changes to These Terms

We may update these Terms periodically.

The updated version will be published on the WAAI website with a revised "Last Updated" date.

You are responsible for reviewing the Terms periodically.

Continued use of WAAI after the updated Terms become effective constitutes acceptance of the revised Terms.

26. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable law, disputes relating to these Terms or WAAI shall be subject to the jurisdiction of the courts located in Jaipur, Rajasthan, India.

27. Dispute Resolution

Before initiating formal legal proceedings, the parties should make reasonable efforts to resolve disputes through good-faith communication.

Nothing in this section prevents either party from exercising rights or remedies that cannot legally be waived.

28. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

29. Entire Agreement

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, and any additional service-specific terms, constitute the agreement between you and Sofitgrow regarding your use of WAAI.
